Owners of Miami-based Norwegian Cruise Line (NCL) are offering company stock worth $962m.
Apollo Global Management and Star NCLC Holdings will offload 18.87m shares at $51 each, it said.
The deal is expected to close on or about 3 December.
NCL will not receive any of the proceeds.
But it has agreed to repurchase from underwriter Morgan Stanley shares worth $85m.
This is part of its existing $1bn buyback programme.
